DRAFT — PENDING LEGAL REVIEW. This document has not been ratified by counsel and
must not be relied upon as a binding instrument until it is reviewed, approved,
and re-issued under a non-draft version number.
These Terms of Use govern your access to the Pasqio client portal as a
“Registered Client” or “Advisor”. You have been invited to the portal by a law
firm or other professional services organization (your “Firm”) that subscribes
to the Pasqio Service.
1.1 Pasqio provides the software your Firm uses to manage its practice. Pasqio
is a technology provider only.
1.2 Pasqio is not your attorney. Your use of this portal does not create an
attorney-client relationship between you and Pasqio, and nothing Pasqio provides
constitutes legal advice. Your legal relationship — including any attorney-client
relationship, engagement letter, fee arrangement, or privilege — is with your
Firm, not with Pasqio.
1.3 Pasqio is not a party to any agreement between you and your Firm and has no
role in the services your Firm provides to you.
2.1 Access to the portal is limited to the individual it was issued to. Your
credentials are personal and must not be shared with, or used by, any other
person.
2.2 You are responsible for maintaining the confidentiality of your credentials
and for all activity that occurs under your account. Notify your Firm and Pasqio
immediately if you believe your account has been accessed by anyone else.
2.3 Pasqio may require you to use two-factor authentication.
2.4 The portal is intended only for access and use by individuals at least 18
years old.
3.1 Your Firm decides what you can see in the portal, invites you, and may
revoke your access at any time. Pasqio acts on your Firm’s instructions.
3.2 The documents and information in the portal belong to and are controlled by
your Firm. Requests to access, correct, export, or delete matter content should
be directed to your Firm in the first instance. Pasqio will not release, alter,
or delete your Firm’s content on your instruction alone.
3.3 If your Firm’s subscription ends, your access to the portal ends with it.
4.1 You will not attempt to access any account, matter, or document other than
those made available to you.
4.2 You will not upload anything unlawful, or any virus, worm, or other
malicious code, and will not attempt to probe, scan, reverse engineer, or
interfere with the portal.
4.3 You will not use the portal to send unsolicited bulk messages.
4.4 Pasqio may suspend access where it reasonably suspects abuse, misuse, or
activity that could harm the Service or other users.
5.1 The portal may ask you to sign documents electronically. Where it does, you
will be shown a separate electronic-signature consent disclosure before signing,
and your agreement to that disclosure is what makes the resulting signature
legally effective under the U.S. Electronic Signatures in Global and National
Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA).
5.2 Documents you sign in the portal are between you and your Firm, or between
you and whoever your Firm identifies as the counterparty. Pasqio is not a party
to them.
6.1 Pasqio’s handling of your personal information is described in the Pasqio
Privacy Policy at pasqio.com/privacy, which applies to your use of the portal.
6.2 Your Firm determines what personal information about you is placed into the
Service and why. For anything concerning your Firm’s own handling of your
information, contact your Firm.
7.1 The portal sends email and, if you provide a mobile number, SMS
notifications about your matters, documents awaiting signature, invoices, and
account security. Notification delivery relies on third-party providers; message
and data rates from your carrier may apply.
7.2 Security and account notifications are part of the Service and cannot be
disabled. You may opt out of non-essential notifications.
8.1 The portal is provided “as is” and “as available”. To the maximum extent
permitted by law, Pasqio disclaims all warranties of any kind, whether express,
implied, or statutory.
8.2 To the maximum extent permitted by law, Pasqio will not be liable to you for
any indirect, incidental, special, consequential, or exemplary damages arising
out of your use of the portal, and Pasqio’s total liability to you will not
exceed one hundred U.S. dollars (USD $100). This does not limit any liability
that cannot be limited under applicable law.
8.3 Nothing in these Terms limits your rights against your Firm.
9.1 Pasqio may amend these Terms. Where a change is material, Pasqio will
provide notice and, where appropriate, ask you to acknowledge the revised Terms
the next time you sign in.
10.1 These Terms are governed by the laws of the State of California, without
regard to its conflict of law provisions, and any dispute will be resolved in
the state or federal courts located in the County of San Diego, California.
